Terms of Service

1. Acceptance of Terms

By accessing and using Zine ("the Service"), operated by Unstruk Data, Inc. ("Company", "we", "our", or "us"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

Age Requirements: You must be over 13 years of age to use the Service. If you are over 13 years of age but are not yet of legal age to form a binding contract (in many jurisdictions, this age is 18), then you must get your parent or guardian to read these Terms and agree to them for you before you use the Service. If you are a parent or guardian and you provide your consent to your child's registration with the Service, you agree to be bound by these Terms with respect to your child's use of the Service.

If you are registering for or using the Service on behalf of an organization, you are agreeing to these Terms for that organization and representing that you have the authority to bind that organization to these Terms.

ARBITRATION NOTICE: EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN SECTION 15 BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND UNSTRUK DATA, INC. WILL BE RESOLVED BY MANDATORY BINDING ARBITRATION AND YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

2. Description of Service

Zine is an AI-powered chat platform that allows users to interact with various language models, manage knowledge bases, upload files, and engage with AI assistants. The service is provided "as is" and may be modified or discontinued at any time.

3. User Accounts and Registration

To access certain features of the Service, you may be required to create an account. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Providing accurate and current information during registration
  • Notifying us immediately of any unauthorized use of your account

4. Acceptable Use Policy

You agree not to use the Service to:

  • Generate harmful, illegal, or offensive content
  • Violate any applicable laws or regulations
  • Infringe upon the intellectual property rights of others
  • Attempt to reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code of the Service
  • Upload malware, viruses, Trojan horses, worms, time bombs, or other malicious content
  • Spam, harass, or abuse other users or the Service
  • Use the Service for any commercial purpose without prior written consent
  • Access the Service for the purpose of bringing an intellectual property infringement claim against us or creating a competitive product or service
  • Use any robot, spider, scraper, or other automated means to access the Service or extract data
  • Disable or circumvent any security mechanisms used by the Service
  • Interfere with or disrupt the Service or servers and networks connected to the Service
  • Access the Service in a manner intended to avoid incurring fees or exceeding usage limits

5. Content and Intellectual Property

You retain ownership of any content you upload to the Service. By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, modify, and distribute your content solely for the purpose of providing the Service.

The Service and its original content, features, and functionality are owned by Unstruk Data, Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices regarding the collection and use of your information.

7. Subscription Plans and Billing

The Service offers both free and paid subscription plans. Paid subscriptions are billed in advance on a monthly or annual basis. You may cancel your subscription at any time, but no refunds will be provided for unused portions of your subscription period.

We reserve the right to modify our pricing at any time. Price changes will be communicated to existing subscribers with at least 30 days' notice.

8. Usage Limits and Fair Use

The Service is subject to usage limits based on your subscription plan. We reserve the right to enforce fair use policies and may suspend or terminate accounts that exceed reasonable usage patterns or violate our terms.

You may not rent, lease, provide access to, or sublicense any elements of the Service to a third party or use the Service on behalf of or to provide services to third parties without our prior written consent.

Upon termination of your account for any reason, you are solely responsible for exporting your content from the Service. If we terminate your account for our convenience, we will endeavor to provide you a reasonable opportunity to retrieve your content.

9. Beta and Experimental Features

We may release products and features that we're still testing and evaluating ("Beta Services"). Beta Services may be labeled "alpha," "beta," "preview," "early access," or "experimental" and may not be as reliable as our other services.

Use of any Beta Services is completely voluntary and at your sole risk. Beta Services are provided on an "as is" basis and may contain errors, defects, bugs, or inaccuracies that could cause failures, corruption, or loss of data and information.

Beta Services are made available in part so that we can collect user feedback. By using Beta Services, you agree that we may contact you to collect such feedback. For any Beta Services provided on a confidential basis, you agree not to disclose or make available any of the Beta Services without our prior written consent.

10. Third-Party Software and Services

The Service may incorporate certain third-party software or provide access to third-party websites, resources, content, or information ("Third-Party Materials"). You acknowledge sole responsibility for and assume all risk arising from your access to or use of such Third-Party Materials.

We are not responsible for the availability or accuracy of Third-Party Materials and disclaim any liability for harm, injuries, or losses suffered as a result of your use of such materials. Nothing in these Terms limits your rights under applicable licenses for third-party software.

11. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SUBJECT TO APPLICABLE LAW, IN NO EVENT SHALL UNSTRUK DATA, INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT, OR OTHERWISE) EXCEED THE AMOUNT THAT YOU HAVE ACTUALLY PAID FOR THE SERVICE IN THE PAST TWELVE MONTHS, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.

12. Indemnification

You agree to defend, indemnify, and hold harmless Unstruk Data, Inc. and its affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service or violation of these terms.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms of Service.

Upon termination, your right to use the Service will cease immediately. All provisions of these terms which by their nature should survive termination shall survive.

14. Feedback and Suggestions

You may choose to submit comments, ideas, or feedback about the Service. By submitting any feedback, you agree that your disclosure is voluntary and without restriction, and that we are free to use such feedback without any additional compensation to you. You warrant that your feedback does not violate any third-party rights.

15. Dispute Resolution and Arbitration

Please read this section carefully as it affects your rights.

Governing Law

These Terms and any action related thereto will be governed by the laws of the State of California without regard to its conflict of laws provisions.

Mandatory Arbitration

Except for small claims disputes and claims for injunctive relief, any dispute or controversy arising out of or relating to these Terms or your use of the Service shall be finally settled by binding arbitration under the Federal Arbitration Act.

ANY DISPUTE RESOLUTION PROCEEDING SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Opt-Out Right

You have the right to opt out of binding arbitration within 30 days of first accepting these Terms by emailing us at legal@zine.ai with your full name and clear indication of your intent to opt out of binding arbitration.

Statute of Limitations

You agree not to bring any legal action against Unstruk Data, Inc. that is more than one year after the date of the applicable claim.

16. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated terms.
